Preventing the perils of selective disclosure
Article Abstract:
The risks posed by selective disclosure of inside information to securities analysts and other investment professionals can be minimized by taking steps to control the flow of information to investors and the marketplace. One or two spokespeople should represent a public company in communications with analysts, these people should be provided with sufficient information and records should be kept of such communications. Securities firms must retain all research papers, treat all accounts equally and maintain internal review procedures.

Article Abstract:
Preparation for crisis management involves 11 areas, including crisis management team formation and team alertness. Other areas include monitoring legal trends, a company code of conduct, having an officer to receive complaints, disclosure of adverse trends and reporting to company directors. Document policies, full disclosure, having management control events and respond as if they were affected are other areas needing consideration.

Promises made, promises kept: practical implications of the Securities Reform Act
Article Abstract:
The passage of the Private Securities Litigation Reform Act of 1995 has impacted more than just those involed in securities class action suits. Public companies and the entire capital market have been affected by its changes in disclosure and safe harbor requirements for forward-looking securities statements. Steps corporate counsel should take in light of the act are discussed.
