Fay L Chapman, the executive vice pres and general counsel of Washington Mutual Inc, the largest US thrift, heads a department of 30 attorneys in the Seattle headquarters. Before Washington Mutual her experience was mainly bank regulatory and operational work, joining the thrift as a mergers and acquisitions lawyer. Washington Mutual has an interest in the amount of "supervisory goodwill" a financial institution can list as part of its regulatory capital requirements arising from the acquisition of failing savings-and-loans and this interest arises from its acquisition of the California thrifts.

Lawyers fret over counsel who testify; risks abound for those who act as 30(b)(6) witnesses

Corporate counsel are often chosen to represent their companies as deposition witnesses under the Federal Rules of Civil Procedure 30(b)(6), a rule requiring testimony from corporate employees with the greatest knowledge of a situation when a company, partnership or corporation faces a subpoena. The risk of an in-house attorney's appearing on behalf of the company is that this person's legal and business roles tend to become intertwined, and it is hard to limit the inquiry's scope to topics not protected by the attorney-client or work product privileges.

William B Lytton, the vice pres and general counsel at International Paper Co, the world's largest paper and forest products co with about $20 bil in annual revenues, heads a department of about 50 attorneys, with 40 in the US and 10 in Europe. The company is changing its approach to litigation by developing a strong in-house capacity in that regard. Lytton considers himself a believer in controlling costs by handling matters in-house and controlling outside costs by task-based budgeting.
