Mergers and acquisitions: maximizing the value of real estate due diligence
Article Abstract:
Real estate executives, professional advisors and consultants are advised to to participate early in corporate merger or acquisition transactions to avoid risk, and lessen transition time and cost. A seller and buyer, acquirer or target may follow an eight-step process in preparing and implementing a comprehensive real estate approach to the transaction. The steps include identifying the important assets, segregating assets to be sold from those to be retained, assessing leases, contracts and approvals and positioning the properties for transfer.

Recent changes in the economy have led to the issue of strategic alternatives to synthetic leasing, an off-balance technique that enables businesses to enhance the value of their real estate assets. Synthetic leasing allows companies to exclude real estate assets, such as factories, headquarters and distribution facilities, in the balance sheet without giving up the valuable tax benefits of owning real estate.
