Tabcorp's star-crossed deal

The planned Tabcorp Holdings/Star City Casino merger may be in danger, but Tabcorp chief executive Ross Wilson is confident. The scrip-and-cash offer of one Tabcorp share plus $1.49 cash for every eight Star City shares will increase Tabcorp's debt-equity to 70%. If the deal fails, Tabcorp will still control Star City because of a deal with Harrah's Entertainment Inc., the majority owner of Star's management contract. The proposed merger would create a vast entertainment and leisure concern.
