Poor management of UK acquisition and merger bids leads to a failure rate of 50% of deals in 1998, putting shareholder and capital venture investment at high risk. The management approach often overlooks implementation factors and the importance of brand, while relying too heavily on the financial and managerial aspects. The mergers and acquisitions agenda needs to be modified to take into account intellectual deals rather than mergers and acquisitions based purely on industrial needs.

The Guinness/GrandMet merger was interesting in that the transaction was put together in under four weeks with no leaks prior to the public announcement of the deal. There was opposition from Bernard Arnault of LVMH, who wanted to block the deal, in favour of a three-way merger of the drinks businesses of LVMH, GrandMet and Guinness. The merger later went through unopposed with a satisfactory settlement for all parties.
